iara provides an information society service within the meaning of Directive 2000/31/EC, in the form of an online Platform that connects independent Professionals with Clients for the purpose of contracting for and managing Services.
iara does not act as a care provider, as a seller of the Services offered on the Platform, or as a representative or commercial agent of the Professionals.
iara provides, in particular, the following features:
-
connecting Clients and Professionals;
-
booking and managing appointments;
-
integration of an online payment service operated by a third-party Payment Service Provider;
-
issuing and using Gift Cards;
-
recommendation, referral and iara Credits programmes;
-
additional assistance services, including iara Protection;
-
collecting and publishing Client reviews;
-
sharing Posts, viewing a Feed and community features (profiles, Following relationships, favourites, messaging), under the conditions set out in Article 15 bis;
-
the invoicing, cash register and data transmission services set out in Article 6 bis.
The Platform is neither a payment service within the meaning of Article L.521-1 of the French Monetary and Financial Code nor an electronic money issuance service within the meaning of Article L.315-1 of that Code.
Article 3 — Role of the Platform and Nature of iara’s Involvement
3.1 Technical Intermediary
iara acts exclusively as a technical and commercial intermediary between Clients and Professionals listed on the Platform. Professionals freely determine the nature of the Services offered, the conditions under which they are performed and their prices. iara exercises no control over the performance of the Services and assumes no liability in connection with their performance.
3.2 Direct Contractual Relationship Between Client and Professional
Any booking made through the Platform creates a direct contractual relationship between the Client and the Professional concerned. iara is not a party to that contract and does not participate in the performance of Services provided by Professionals.
3.3 Responsibility of Professionals
Professionals warrant that they hold all qualifications, authorisations, diplomas and insurance necessary to carry on their business and provide the Services offered. They undertake, at their sole risk and under their sole responsibility, to comply with all applicable legal, regulatory and professional obligations, particularly with respect to:
-
hygiene (including the Order of 7 March 2013 on hygiene standards applicable to aesthetic care and wellness activities);
-
professional qualifications (including the diplomas required by Law No. 96-603 of 5 July 1996 to carry on aesthetic or hairdressing activities);
-
the safety of Clients and their property;
-
professional civil liability insurance;
-
tax and social security compliance and consumer protection.
iara is under no obligation to systematically verify these qualifications, in accordance with Article 8 of Regulation (EU) 2022/2065. The Professional expressly authorises iara to suspend, restrict or remove the Professional’s listing in the event of an established or reasonably suspected breach of these obligations, without such a measure constituting an acknowledgement by iara of any liability in respect of the Services.
3.4 Scope of iara’s Paid Services
Certain services offered by iara are subject to a charge, particularly the Professional subscription, Buyer Protection Fees and certain processing fees. The nature, amount and conditions of these services are disclosed to the User before any transaction.
Article 4 — Access and Registration
4.1 Access to the Platform
Access to the Platform is free of charge, except for internet connection costs, which remain payable by the User. iara reserves the right to suspend access to the Platform for technical, security or maintenance reasons without incurring liability.
4.2 Client Registration
Registration as a Client is open to any natural person aged at least sixteen (16). It requires the provision of accurate, complete and up-to-date information, particularly surname, first name, email address, telephone number and, where applicable, a payment method.
Registration as a Client is open to any natural person aged at least sixteen (16), iara having set this minimum age above the threshold of fifteen (15) provided for in Article 45 of Law No. 78-17 of 6 January 1978, as amended, for a minor’s consent to the processing of their data.
The purchase of Gift Cards, the conversion of iara Credits into a bank transfer and participation in the recommendation programme as a business introducer are restricted to adult Users.
4.3 Professional Registration
Registration as a Professional is open to natural or legal persons carrying on beauty, aesthetic, hairdressing or care activities in a professional capacity. Registering and using the Platform as a Professional require the provision, at iara’s request, of accurate, complete and up-to-date information, including:
-
company name or trading name, company identification number (SIREN, SIRET or equivalent in the Professional’s country of establishment), legal form;
-
business premises address;
-
contact details;
-
bank details in the name of the Professional or the legal entity they represent;
-
any information required by the Payment Service Provider for checks under anti-money laundering and counter-terrorist financing regulations (“AML/CFT”).
iara may suspend access to all or part of the Platform where the requested information is not provided or proves to be inaccurate.
Registration also entails the Professional’s undertaking:
-
to instruct the Payment Service Provider, in the event of a persistent debit balance under the conditions set out in Article 9, to debit the Professional’s registered bank account;
-
to instruct the Payment Service Provider to debit the Professional’s payment account or, failing that, the registered bank account, for amounts corresponding to chargebacks, disputes and associated fees arising from online payments made through the Platform.
The Professional represents and warrants that they comply with all legal, regulatory, tax, social security and professional obligations applicable to their business. iara may, without being obliged to do so, request additional supporting documents.
4.4 Account and Confidentiality of Login Credentials
Each User is responsible for the confidentiality of their login credentials and for all activity carried out through their Account. Any fraudulent use must be reported to iara without delay.
4.5 Term
User Accounts are created for an indefinite period. They may be terminated under the conditions set out in Article 22.
Article 5 — Listing of Services
The Professional freely determines the nature of the Services offered on the Platform, their duration, the conditions under which they are performed and their prices.
The price displayed to the Client before confirmation of the booking is the total price payable, including any applicable surcharge (particularly in connection with appointment times, options or extras defined by the Professional). No surcharge that was not displayed before confirmation of the booking may be charged to the Client, whether by the Professional through the Platform or by iara.
The Professional must display accurate, complete and up-to-date information. The Professional warrants that they hold all authorisations, qualifications, diplomas and insurance necessary to provide the Services offered.
iara may refuse, amend or remove the listing of a Service whose description is manifestly inaccurate, misleading, unlawful, contrary to accepted standards of morality, public policy or these Terms. Any removal or restriction decision is accompanied by a statement of reasons communicated to the Professional, under the conditions set out in Regulation (EU) 2022/2065.
Ranking. Search results and lists of Professionals presented to Clients are ordered automatically. In accordance with Article 5 of Regulation (EU) 2019/1150, the main parameters determining this ranking are, in descending order of importance:
- the match with the Client’s search — Service category, location and distance from the location searched for. This parameter is predominant: a Professional is suggested only for Services and a geographical area matching the request;
- the Professional’s availability during the period searched for, as shown in the calendar they keep up to date on the Platform;
- the Professional’s quality and reliability, assessed using objective data generated on the Platform: average rating and number of reviews, proportion of bookings honoured, responsiveness to requests and consistency in payment management [to be confirmed: specify what “payment reliability” in the current version covers];
- as a secondary criterion, to distinguish between Professionals who are equivalent under the preceding parameters, profile completeness (description, photographs, Services entered) and length of time on the Platform.
These parameters are weighted to prioritise the Professionals most likely to meet and fulfil the Client’s request; relevance and availability therefore take precedence over reputation. No Professional may obtain a better ranking in exchange for remuneration paid to iara, and taking out a Professional subscription has no effect on ranking [to be confirmed]. Where iara highlights certain Professionals in editorial selections (new Professionals, themed selections), these are identified as such.
The conditions for listing, delisting and ranking are also described in a dedicated section accessible from every page of the website without logging in, in accordance with Article D.111-7 of the French Consumer Code. The presentation of content in the Feed is governed by Article 15 bis.3.
Article 6 — Booking and Payments
6.1 Payment Arrangements
The Platform offers two payment arrangements, depending on the choice of the Professional concerned:
-
Online payment: payment collected through the Payment Service Provider integrated into the Platform (currently Stripe), at the time of booking or according to the arrangements defined by the Professional and accepted by the Client.
-
On-site payment: payment for the Service directly between the Client and the Professional upon completion of the Service. iara does not participate in collecting the amount and does not provide the services associated with online payment for these Services (Buyer Protection Fees, iara Protection, etc.). Any deposit or payment agreed directly between the Client and the Professional outside the Platform, including following a request sent through messaging or a campaign, falls solely within their contractual relationship. It gives rise to neither Buyer Protection Fees nor iara Protection, nor to any intervention by iara in the event of a dispute or failure to return funds.
Depending on the User’s country and device, the Payment Service Provider may offer different online payment methods (bank cards, mobile wallets and local solutions such as Bancontact or Twint). Where a deferred payment or instalment payment solution is offered, it is provided by a third-party institution under its own terms, which are presented to the Client before confirmation; iara is neither a lender nor an intermediary in banking transactions and does not participate in granting such financing.
The applicable payment arrangement is disclosed to the Client before confirmation of the booking.
6.2 iara’s Status in Relation to Payments
iara is neither a payment institution nor an electronic money institution, nor an agent or distributor of such an institution. iara does not collect funds on its own behalf, except for sums owed directly to it for its own services (iara commission, subscription, Buyer Protection Fees, processing fees).
For online payments, funds paid by the Client are credited directly to the Professional’s payment account, opened and maintained by the Payment Service Provider acting exclusively on behalf of the Professional. Instructions for any portion payable to iara (iara commission, Buyer Protection Fees, business introducer remuneration, processing fees) are issued as part of the same payment, and that portion is credited separately.
To ensure proper performance of the Services and, where applicable, implementation of iara Protection, the actual payout of funds to the Professional’s bank account may be deferred according to the arrangements defined by iara with the Payment Service Provider, particularly until the Service has actually been performed. This arrangement gives iara no ownership rights over the funds, which remain held exclusively on behalf of the Professional.
Disputes, chargebacks and associated fees. In the event of a claim by the Client with their bank or card issuer (chargeback), or any other dispute concerning a payment made through the Platform, the corresponding amount and any fees charged by the Payment Service Provider (dispute fees, chargeback fees, penalties) are payable exclusively by the Professional. Under the conditions set out in Article 9, iara may instruct the Payment Service Provider to debit these sums from the Professional’s payment account or, if the balance is insufficient, from the registered bank account.
As part of iara Protection defined in Article 12, iara may act as an amicable mediator, without this creating any payment obligation on its part.
6.3 Debit Mandate
By registering, the Professional authorises iara to issue the instructions to the Payment Service Provider necessary to collect sums owed to iara (including commissions, subscriptions and processing fees), up to the amounts actually owed and in accordance with the agreed arrangements.
6.4 Invoicing
Invoices for Services. Services performed by the Professional give rise to an invoice or receipt issued by the Professional, regardless of the payment arrangement selected. Where the Professional has activated the invoicing features set out in Article 6 bis, this invoice is prepared by iara in the Professional’s name and on the Professional’s behalf, pursuant to the Invoicing Mandate defined in Article 6 bis.3, and bears the corresponding statement. The Professional remains solely responsible for its content and the related tax obligations.
The invoice is made available to the Client through the Platform and may be sent electronically. If the features set out in Article 6 bis have not been activated, issuing the invoice is exclusively a matter for the Professional’s own resources, and iara does not intervene in this respect.
Invoices for iara’s services. iara issues a separate invoice for services it charges for directly in its own name, including Buyer Protection Fees, the Professional subscription, iara commission and processing fees. These invoices are accessible from the personal space of the User concerned.
Article 6 bis — Invoicing, Cash Register and Transmission of Data to the Tax Authorities
6 bis.1 Purpose and Scope
iara makes available to Professionals, upon voluntary activation by them, a set of features intended to assist them in meeting their legal obligations concerning invoicing, cash register records and transmission of data to the tax authorities (the “Compliance Services”).
Depending on the circumstances and the Professional’s country of establishment, these Compliance Services include:
-
preparing and making available invoices for the Services they perform;
-
maintaining a Receipts Journal and carrying out the corresponding Closings;
-
receiving Electronic Invoices sent to them by their suppliers;
-
transmitting their transaction and payment data to the tax authorities through an Approved Platform;
-
preparing activity reports and tracking their expenses.
The Compliance Services are independent of the Professional’s choice whether or not to offer online payment through the Platform. The scope actually available to a Professional depends on their country of establishment and currency and is disclosed in their personal space before any activation. Features for transmitting data to the French tax authorities are restricted to Professionals established in France.
Activation of the Compliance Services is optional. It is not a condition of access to the Platform, the Professional’s listing or access to online payment.
6 bis.2 Role of iara and Use of an Approved Platform
iara is not an Approved Platform. iara acts as the Professional’s technical service provider and, for issuing, receiving and transmitting invoices and data, relies on a third-party Approved Platform registered by the tax authorities, whose identity is disclosed to the Professional in their personal space before activation.
iara does not perform any of the functions reserved to the Approved Platform by applicable regulations. Reporting and invoicing obligations remain, in all circumstances, those of the Professional.
Use of another Approved Platform may entail a change of operator under the conditions set out in Article 6 bis.11. iara informs the Professional of any change of Approved Platform with reasonable notice and, in all cases, in accordance with Article 21.
6 bis.3 Invoicing Mandate
By activating the invoicing features, the Professional grants iara an express prior mandate to prepare invoices in the Professional’s name and on the Professional’s behalf, in accordance with Article 289, I-2 of the French General Tax Code. Invoices prepared in this way bear a statement that they were prepared by iara in the Professional’s name and on the Professional’s behalf.
Under the same Article, the Professional remains solely responsible for:
-
the particulars appearing on invoices prepared in their name, including their identity, identification number, value added tax regime, rates applied and description of the Services;
-
reporting obligations and payment of the corresponding tax;
-
compliance of the invoices with the regulations of the country in which they are established.
The Professional has permanent access, from their personal space, to all invoices prepared in their name. They must check them without delay and challenge with iara, as promptly as possible, any invoice they consider non-compliant. If no challenge is raised, the invoice is deemed accepted by the Professional, without such acceptance releasing them from their responsibility under this Article. Any correction gives rise to a corrective invoice or credit note, and the invoice originally issued may not be amended.
The Invoicing Mandate takes effect upon activation and ends under the conditions set out in Article 6 bis.10. The Professional may revoke it at any time from their personal space, without retroactive effect on invoices already issued.
6 bis.4 Representation Mandate Before the Approved Platform
By activating the supplier invoice receipt or data transmission features, the Professional grants iara a mandate to represent them before the Approved Platform, solely for the purpose of issuing, receiving and transmitting the relevant invoices and data in their name.
The Representation Mandate is formalised in a separate document, electronically signed by the Professional, a copy of which is sent to them and remains accessible from their personal space. In the event of a conflict between that document and these Terms, the signed document prevails as regards the scope of the mandate.
The Professional represents and warrants:
-
that the legal information they provide, including their identification number, company name, registered office address and value added tax regime, is accurate and up to date, and that they report any change without delay;
-
that they have not already designated another platform to receive their Electronic Invoices, since only one receiving platform may be active for a given business, or that they intend to change platforms under the conditions set out in Article 6 bis.11.
The mandate takes effect only once the Professional is registered in the directory maintained by the tax authorities. iara informs the Professional if this registration is missing; this situation, which is not attributable to iara, gives rise to no entitlement to compensation.
The Representation Mandate is entered into for an indefinite period. It is automatically revoked if the Compliance Services are deactivated, the Professional’s subscription is terminated, or their Account is terminated or deleted. iara then revokes it with the Approved Platform and informs the Professional.
Deactivating data transmission to the tax authorities does not, in itself, stop the maintenance of the Receipts Journal, and vice versa. The Professional may activate and deactivate these functions independently of one another from their personal space.
6 bis.5 Receipt of Supplier Invoices
Where the Professional has activated this feature, Electronic Invoices sent to them by their suppliers are received by the Approved Platform and made available in their personal space.
iara exercises no control over the content, accuracy or validity of these invoices and assumes no obligation to verify them. The Professional must consult them regularly, check their content and take the steps required upon receipt, particularly regarding challenges and payment deadlines.
6 bis.6 Transmission of Transaction and Payment Data
Where the Professional has activated this feature, iara transmits transaction and payment data relating to their business to the Approved Platform, which forwards it to the tax authorities, in accordance with Articles 290 and 290 A of the French General Tax Code.
The data transmitted consists of aggregated turnover and receipts data, broken down by date and tax rate. No Client identification data is transmitted through this data flow.
The frequency of transmissions is determined by the Approved Platform on the basis of the tax regime declared by the Professional. The Professional must declare their correct tax regime and report any change without delay, with the applicable frequency adjusted accordingly.
A submitted declaration cannot be withdrawn; it may only be corrected. Any subsequent amendment to a closed appointment, any refund and any correction of an amount give rise to a corrective declaration under the conditions set out in Article 6 bis.7.
6 bis.7 Receipts Journal and Closings
In its capacity as a cash register software publisher within the meaning of Article 286, I-3° bis of the French General Tax Code, iara records each payment received by the Professional in a Receipts Journal that meets the requirements of unalterability, security, retention and archiving set out in that provision.
The Professional undertakes to enter, accurately and completely at Closing, the amount and payment method for each Service performed, including payments received outside the Platform.
Entries in the Receipts Journal may not be amended or deleted. A correction, refund or change of payment method gives rise to new entries, with the entire history retained. A closed appointment can no longer be amended or cancelled directly: any amendment is made through a new Closing, which, where applicable, results in a corrective invoice and the transmission of a corrective declaration.
Daily, monthly and annual Closings are carried out and fix the corresponding totals. iara retains the cumulative totals for each period and the running total since first use.
The Professional is strictly prohibited from using any means intended to alter, conceal or circumvent the recording of payments. Any breach may result in suspension or termination of their Account under the conditions set out in Article 22, without prejudice to the penalties provided for by applicable regulations.
Upon a simple request from the Professional’s personal space, iara provides the Professional with an individual certificate of compliance of the system with the above requirements, together with instructions describing how it operates.
6 bis.8 Data Accuracy and the Professional’s Responsibility
The Compliance Services are performed on the basis of the Professional’s information and entries. The Professional remains solely responsible for the accuracy and completeness of the information they provide, including their identification details, tax regime, tax rates applied, amounts and payment methods entered at Closings, and the actual occurrence of the transactions declared.
The Professional remains solely responsible for their reporting and payment obligations towards the tax authorities and any competent body. iara assumes no obligation to achieve a specific result in this respect and cannot act in place of the Professional.
Accordingly, iara cannot be held liable for any tax adjustments, additional assessments, surcharges, interest, fines or penalties of any kind imposed on the Professional where they result from inaccurate, incomplete or late information provided by the Professional, failure to carry out a Closing, a declaration validated by the Professional, or the Professional’s failure to comply with their own obligations.
6 bis.9 Service Availability and the Professional’s Duty of Vigilance
The Compliance Services are provided subject to an obligation to use reasonable efforts. iara does not guarantee uninterrupted availability of the Platform, the Approved Platform or the tax authorities’ services.
The obligation to issue, receive and transmit remains the Professional’s responsibility, including where all or part of the Compliance Services are unavailable. The Professional must monitor the status of their invoices, Closings and transmissions from their personal space, report any anomaly to iara without delay and, if the situation requires it, fulfil their obligations by any other means available to them.
iara informs the Professional of any significant and prolonged unavailability affecting the Compliance Services by notification in their personal space or by email.
6 bis.10 Retention, Archiving and Data Portability
iara retains, on behalf of the Professional, invoices prepared in their name, the Receipts Journal and Closings for a minimum period of six (6) years from the end of the relevant financial year, in accordance with Article L.102 B of the French Tax Procedures Code, without prejudice to longer periods arising in particular from Article L.123-22 of the French Commercial Code.
This retention is carried out to fulfil a legal obligation. It continues notwithstanding deactivation of the Compliance Services, termination of the Professional’s subscription, or termination or deletion of their Account. No issued invoice, Receipts Journal entry or Closing is deleted or overwritten before that period expires.
The Professional may, at any time and when leaving the Platform, obtain from their personal space a full export of their invoices, Receipts Journal and Closings in an open, readable format. iara keeps a record of each archive generated.
6 bis.11 Change of Platform
A Professional wishing to entrust receipt of their Electronic Invoices to another platform, or transferring from another platform, may submit a request from their personal space. iara forwards the relevant file to the Approved Platform and informs the Professional of the progress of the procedure.
Processing times depend on the Approved Platform and, where applicable, the originating or destination platform. iara cannot guarantee the effective date of the change and is subject only to an obligation to use reasonable efforts in this respect.
A change of receiving platform does not, in itself, terminate the other Compliance Services, which the Professional may continue using under the conditions set out in this Article.
6 bis.12 No Accounting, Tax or Legal Advice
The Compliance Services are tools for entering, organising and transmitting information. They do not constitute an engagement to maintain, centralise, prepare or review accounts, or the provision of accounting, tax, social security or legal advice, in particular within the meaning of Ordinance No. 45-2138 of 19 September 1945.
iara does not carry out any activities reserved to accounting or legal professionals. Reports, totals and categorisations made available to the Professional are provided for information purposes and do not remove the need for any checks. The Professional is advised to engage a chartered accountant or another qualified professional to prepare their accounts and assess their tax situation.
6 bis.13 Access Conditions and Pricing
Access conditions for the various features comprising the Compliance Services, including those that may be restricted to certain subscription plans, are disclosed to the Professional in their personal space before any activation, in accordance with Article 7.
iara may change the scope and access conditions of the Compliance Services, in particular to reflect legislative or regulatory developments or changes to the Approved Platform, under the conditions and subject to the notice periods set out in Articles 7.2 and 21.
Article 7 — Fees and Pricing
7.1 Transparency Principle
All fees that may be payable by a User (Client or Professional) for use of the Platform and services offered by iara are disclosed to the User before any relevant transaction, on the corresponding booking, withdrawal or subscription screen.
7.2 Fees Applicable to Professionals
Fees applicable to Professionals (subscription, any commission on online payments, processing fees, fees for transfers below the payout threshold, etc.) are disclosed to the Professional before any transaction and are accessible in their personal space.
iara reserves the right to change fees applicable to Professionals, subject to a minimum notice period of fifteen (15) days, in accordance with Article 3 of Regulation (EU) 2019/1150, unless the change is required by a legal or regulatory obligation or is necessary for security or fraud prevention reasons.
7.3 Fees Applicable to Clients
Any fees applicable to Clients (including Buyer Protection Fees) are disclosed to the Client before confirmation of the booking. No fees other than those thus disclosed may be charged for use of the Platform.
Article 8 — Buyer Protection Fees
8.1 Nature and Purpose
For online payments made through the Platform, iara applies Buyer Protection Fees, intended to cover the costs of securing transactions, assistance in the event of a dispute and operation of the integrated payment service. These fees are separate from the price of the Service and are payable to iara rather than to the Professional.
Buyer Protection Fees include, in particular:
-
verification of the Professional’s eligibility for online payment;
-
provision of an assistance service accessible in the event of a dispute;
-
technical security of the transaction by the Payment Service Provider;
-
eligibility in principle for iara Protection under the conditions set out in Article 12.
Buyer Protection Fees fund and are a condition of the Client’s eligibility in principle for iara Protection, as defined in Article 12. Actual payment of Buyer Protection Fees does not in itself guarantee that iara Protection will be activated, which remains subject to the objective conditions set out in Article 12.
8.2 Prior Information and Invoicing
The amount of Buyer Protection Fees is displayed separately from the price of the Service in the booking summary, before final confirmation by the Client, and is subject to the Client’s specific consent.
Buyer Protection Fees give rise to an invoice issued by iara to the Client, which may be viewed and downloaded from their personal space or sent electronically.
8.3 Refund Rules
Buyer Protection Fees are remuneration for a separate service provided by iara as soon as the booking is confirmed. They are:
-
refunded in full to the Client: if the Client cancels the booking within the period specified in the cancellation conditions for the Service set by the Professional; if the Professional cancels the booking, regardless of when; or if use of iara Protection results in a full refund of the Service;
-
retained by iara only where the booking has not been honoured due to the Client, in consideration for the service provided, particularly in the event of a Client no-show, late cancellation by the Client, or a dispute resolved without a full refund of the Service. Retention of Buyer Protection Fees does not affect the refund of the price of the Service, which remains governed by the Professional’s cancellation conditions and, where applicable, iara Protection.
8.4 Scope of Application
Buyer Protection Fees apply only to bookings paid online through the integrated Payment Service Provider. They do not apply to Services paid for on site.
Article 9 — Management of Funds on Behalf of Third Parties, Payout Times and Unclaimed Funds
9.1 Principle
Sums paid by Clients through online payment are collected and held by the Payment Service Provider integrated into the Platform. In accordance with these Terms, iara is not a payment institution, does not hold funds on its own behalf and is not a party to the payment services contract entered into between the Client, the Professional and the Payment Service Provider.
Funds resulting from payment for a Service are deemed to be held by the Payment Service Provider exclusively on behalf of the Professional concerned. At no time does iara become the owner of sums paid for Services performed by Professionals.
9.2 Availability of Funds and Transfer Requests
The Professional may at any time request the transfer of their available funds to the bank account previously registered and validated with the Payment Service Provider. iara facilitates this operation through the Platform, but the transfer is executed directly by the Payment Service Provider to the Professional’s bank account.
iara may set a minimum payout threshold, currently forty (40) euros. For transfers below this threshold, iara may, at its sole discretion, offer a payout subject to specific processing fees, disclosed on the Platform before the transfer is confirmed.
9.3 Automatic Transfer
Provided that the Professional has activated all elements required by the Payment Service Provider and that the information provided is compliant, iara may initiate an automatic transfer of available funds to the Professional’s registered bank account.
Actual transfer times depend on the Payment Service Provider’s technical and regulatory conditions, applicable compliance checks (AML/CFT, fraud prevention) and the completeness and validity of the information submitted. iara endeavours to make funds available within a reasonable period, without undertaking to make payment on a specific date.
No transfer may be executed in the event of suspected fraud, a payment incident, a dispute or a legal or regulatory obligation temporarily preventing the transfer.
9.4 Inability to Transfer
An automatic transfer may not be executed for any of the following reasons, among others:
-
missing bank details;
-
bank details that are invalid, outdated or rejected by the Payment Service Provider;
-
a closed bank account;
-
lack of KYC validation;
-
restriction, suspension or blocking of the account by the Payment Service Provider.
In these circumstances, the funds remain held by the Payment Service Provider on behalf of the Professional. The Professional is informed by any available means of the need to regularise their situation.
9.5 Debit Balances and Set-Off
In the event of a refund after funds have been paid out to the Professional, a dispute, chargeback, penalty or any other transaction resulting in a debit balance on the Professional’s payment account with the Payment Service Provider, the Professional remains liable for repayment in full of the sums owed.
Upon registration, the Professional expressly authorises iara:
-
to set off the debit balance against sums subsequently collected for Services performed by the Professional through the Platform;
-
if a debit balance persists after thirty (30) days, to instruct the Payment Service Provider to debit the Professional’s registered bank account for the outstanding amount;
-
if the situation is not regularised, to suspend the Professional’s access to the Platform and take any appropriate debt recovery measures.
iara informs the Professional, by any appropriate means (including email and notification in their personal space), of the occurrence of a debit balance and the consequences of failing to regularise it. Any bank fees associated with the debit (including rejected payment fees) are payable by the Professional.
9.6 Unclaimed Funds
In the absence of any regularisation, login, request or response by the Professional for a continuous period of twelve (12) months from the latest of the following events: (i) the Professional’s last login to their personal space, (ii) the last transaction on their Account, or (iii) the first unsuccessful transfer attempt, funds held on their behalf are deemed unclaimed funds.
iara sends the Professional a final notification, by any available means and in particular by email, at least sixty (60) days before the end of the above period.
9.7 Final Allocation
At the end of the twelve (12) month period referred to in Article 9.6, and in the absence of a response or regularisation, unclaimed funds may, at iara’s discretion:
-
be transferred to the Caisse des dépôts et consignations or any other public deposit-holding body, in accordance with regulations applicable to inactive accounts and unclaimed sums;
-
or, where transfer remains impossible because the information supplied by the Professional is missing or invalid, be subject to flat-rate fees for management, safekeeping and contact attempts. These fees may not exceed the available balance and are intended exclusively to cover the direct costs incurred by iara as a result of this situation. The remaining balance after these fees are applied is deposited under the conditions set out in (i).
This reclassification applies only to funds whose transfer is impossible because the Professional’s banking or identity information is missing or invalid.
9.8 Traceability and Absence of Ownership
iara retains the history of contact and transfer attempts in order to demonstrate compliance with its obligations. Nothing in this Article may be interpreted as giving iara ownership of sums owed to the Professional or as changing the legal nature of the intermediation described in these Terms.
Article 10 — Gift Cards
10.1 Definition and Legal Nature
Gift Cards issued by iara constitute a prepaid instrument with limited use within the meaning of Article L.525-5 of the French Monetary and Financial Code. They do not constitute electronic money within the meaning of Article L.315-1 of that Code, insofar as their use is strictly limited to a restricted network of Professionals listed on the Platform and to Services of the same kind.
10.2 Purchase
The purchase of a Gift Card is restricted to adult Clients holding an Account. The Gift Card is credited with the amount determined by the purchaser.
10.3 Use
The Gift Card may be used only on the Platform and only to pay for Services. It may not be used to pay for paid services offered by iara to Professionals (including the Professional subscription). Under no circumstances may it be exchanged for money, transferred or resold.
10.4 Validity
Gift Cards are valid for twelve (12) months from issuance. Upon expiry of this period, any unused balance is permanently forfeited and cannot be refunded.
10.5 Refunds
Gift Cards are neither refundable nor exchangeable, including in the event of loss, theft, expiry, an incorrect email address, Account deletion or any other incident. No refund may be made once the Gift Card has been sent, except in cases provided for by applicable law (including exercise of the right of withdrawal, if the Card has not been used and the statutory period has not expired).
10.6 Limitation of Liability
iara accepts no liability for incorrect entry of the recipient’s email address, use by an unauthorised third party or any other cause not directly attributable to iara.
Article 11 — Recommendation and Referral Programme and iara Credits
11.1 Principle and Nature of iara Credits
iara offers Users recommendation and referral programmes, as well as promotional campaigns, through which they may obtain iara Credits for certain actions, particularly where a booking is made with a Professional following a link, code or content shared by another User.
iara Credits are awarded according to rules and parameters defined by iara and applied automatically by the Platform, on the basis of predefined objective criteria (including the amount of the Service, the nature of the action performed by the User and compliance with the programme conditions).
iara Credits are conditional promotional benefits. They are neither a means of payment within the meaning of Article L.311-3 of the French Monetary and Financial Code, nor electronic money within the meaning of Article L.315-1 of that Code, nor guaranteed income, nor an enforceable claim; they are not held by iara on behalf of the User and do not constitute funds in transit. Until the conversion conditions are met, they cannot give rise to any demand for payment from iara.
11.2 Remuneration Mechanisms
Two distinct mechanisms may give rise to an award of Credits:
(a) Professional Referral — A fixed amount is awarded to a User when a Professional they have referred signs up for a paid subscription offered by iara. This amount is funded by iara from the subscription revenue received on that occasion and is unrelated to any Service received by a Client.
(b) Client Recommendation — An amount calculated as a percentage of the price of a Service is awarded to a User when a Client makes a new booking with a Professional following an identified share or post by that User. This remuneration constitutes business introducer remuneration paid to the recommending User, in accordance with Article L.131-1 of the French Commercial Code.
By registering on the Platform and activating the Client Recommendation programme, the Professional expressly authorises iara to deduct the corresponding business introducer remuneration from the proceeds of each booking resulting from an eligible recommendation and credit it to the recommending User. For the Professional, this remuneration constitutes a marketing expense separate from the contractually applicable iara commission and is disclosed in their personal space.
Business introducer remuneration applies exclusively to bookings actually made following an identified recommendation that complies with the programme conditions. No remuneration is applied retroactively to bookings previously made outside the recommendation scheme. The Professional is informed of the application of this remuneration before confirmation of the booking concerned.
No additional amount is charged to the Client for this remuneration; the total price of the Service remains the price displayed and confirmed by the Client before booking.
11.3 Award Conditions
iara Credits are awarded subject, in particular, to:
-
final validation of the relevant booking and actual payment for the Service;
-
the absence of any cancellation, refund or dispute affecting the Service;
-
compliance with the programme rules and these Terms.
The award of Credits is conditional on the User acting in good faith. iara reserves the right to defer, suspend or refuse an award in the event of suspected fraud, use of multiple accounts, self-referral, price manipulation or breach of these Terms or the programme’s specific terms.
11.4 Referral and Recommendation Commission
The referral or recommendation commission generally ranges from five per cent (5%) to ten per cent (10%) of the amount of the validated Service, up to a limit of fifteen (15) euros per booking, except for specific promotional campaigns. The exact amount applicable to a given campaign is stated in its Specific Terms.
11.5 Use of iara Credits
iara Credits may be used:
-
to pay for all or part of a Service booked through the Platform;
-
or, where the conversion conditions are met, be the subject of a request for conversion into a bank transfer under the arrangements defined in Article 11.6.
11.6 Conversion of Credits into a Bank Transfer
Where the conditions are met, the User may request conversion of their iara Credits into a bank transfer. This conversion constitutes an optional, separate service, provided at the User’s express request, and cannot be treated as a withdrawal of funds held by iara on their behalf.
Conversion is subject to all of the following conditions:
-
a minimum available balance of forty (40) euros at the time of the request;
-
prior provision and validation of the User’s banking and identity information;
-
compliance with an annual limit on conversion into bank transfers, set at one thousand (1,000) euros per User per calendar year. Above this limit, iara Credits may be used exclusively to pay for Services on the Platform.
iara may apply processing fees reflecting the technical and banking costs incurred on that occasion, the amount of which is disclosed to the User before confirmation of the request.
No periodic automatic bank transfers are made. Conversion may be initiated only at the User’s express request. iara processes conversion requests within a reasonable period and assumes no obligation to make payment on a specific date. Actual times may depend on fraud prevention checks, KYC/AML/CFT checks and the Payment Service Provider’s technical constraints.
11.7 Validity and Expiry
iara Credits are valid for twelve (12) months from their award or the last activity related to those Credits. Any activity (including a booking, use of Credits, sharing or a conversion request) extends this period.
If there is no activity during this period, the Credits automatically expire and are permanently forfeited without compensation.
11.8 Personal and Non-Transferable Nature
iara Credits are strictly personal, non-transferable and cannot be combined with other promotional offers unless otherwise stated in the Specific Terms; their use is subject to compliance with the conditions published at the time they are awarded.
11.9 Amendment and Suspension of the Programme
iara reserves the right to amend the programme rules, amounts awarded, conversion conditions or validity period of iara Credits at any time. Changes affecting the material conditions of the programme for Professionals are subject to at least fifteen (15) days’ notice, in accordance with Regulation (EU) 2019/1150.
The programme may be suspended or discontinued at any time without compensation.
11.10 Prevention of Abuse
Any attempt at fraud, manipulation, self-referral or misuse results in immediate deletion of the Credits concerned and may lead to suspension or termination of the User’s Account under the conditions set out in Article 22.
11.11 Tax Information
In accordance with Article 242 bis of the French General Tax Code and Directive (EU) 2021/514, known as “DAC7”, iara may be required to transmit to the French tax authorities the gross sums paid to Users in respect of their activities on the Platform. Where applicable, iara provides each User concerned with an annual summary of sums received for the purposes of their own reporting obligations.
11.12 Professionals’ Loyalty Programmes
Professionals may offer their own loyalty programmes through the Platform (including digital loyalty cards) for the benefit of their Clients. These programmes are defined, funded and honoured exclusively by the Professional, who sets their conditions (benefits, thresholds, validity period), which are disclosed to the Client on the Platform.
iara provides only the technical tool for managing these programmes and is not liable for the promised benefits. Loyalty benefits constitute neither iara Credits, nor a means of payment, nor electronic money; they are neither transferable nor convertible into money. If the Professional leaves the Platform, outstanding loyalty benefits remain solely the Professional’s responsibility.
Article 12 — iara Protection
12.1 Nature and Purpose
iara Protection is a separate service provided by iara, independent of the Service performed by the Professional. Its purpose is to support Clients in the event of difficulties relating to a booking made and paid for online through the Platform.
iara Protection is neither a guarantee of a specific result, nor insurance, nor a substitute for the Professional’s responsibility for performing the Service. Responsibility for proper performance of the Service remains exclusively with the Professional who provided it.
iara Protection is funded by the Buyer Protection Fees defined in Article 8. Entitlement to iara Protection is conditional on actual payment of those fees and compliance with the conditions defined in this Article.
12.2 Scope of Application
iara Protection applies only to Services paid for online through the Payment Service Provider integrated into the Platform. It does not apply to Services paid for on site.
It covers exclusively the following cases:
-
the Professional’s failure to attend the appointment (Professional no-show);
-
late cancellation of the Service by the Professional, making performance of the Service impossible;
-
manifest non-conformity of the Service with the details described at the time of booking.
12.3 Reporting Procedure
Any report under iara Protection must be made by the Client through the Platform within forty-eight (48) hours of the scheduled time of the Service. If no report is made within this period, the transaction is deemed definitively completed and may not be challenged under iara Protection.
The Client must provide all information useful for assessing the request, including evidence of the nature of the difficulty encountered.
12.4 Assessment and Decision
iara assesses a request’s eligibility for iara Protection solely against the following objective criteria:
-
the Service was paid for online through the Platform, including Buyer Protection Fees;
-
the report was made within the period set out in Article 12.3;
-
the situation falls within one of the cases covered in Article 12.2;
-
the Client has provided evidence reasonably capable of establishing the situation alleged (including exchanges through the Platform’s messaging system, the booking timestamp, photographs or any other relevant supporting evidence).
Where these conditions are met, iara refunds the Client under the conditions and within the limits set out in this Article, within a reasonable period and in accordance with the Payment Service Provider’s technical procedures. Any refusal is accompanied by reasons and may be the subject of an internal complaint under the conditions set out in Article 22.
12.5 Limit
Any amount refunded to the Client under iara Protection may not exceed the amount actually paid by the Client for the booking concerned. Any indirect loss, loss of opportunity, non-material harm or incidental expenses are excluded.
12.6 Client No-Show
iara Protection does not apply in the event of a Client no-show. The Client remains bound by the cancellation conditions set by the Professional. Where payment was made online, any deposit is not refunded and Buyer Protection Fees are retained in accordance with Article 8.3.
Article 13 — Cancellations, No-Shows and the Professional’s Conditions
The cancellation, deposit and refund conditions applicable to a Service are set by each Professional and disclosed to the Client before confirmation of the booking. iara is not a party to the contract entered into between the Client and the Professional and does not define these conditions.
The Client undertakes to honour their commitment to attend the appointment. In the event of absence or late cancellation, the Professional’s conditions apply, including, where applicable:
-
non-refund of the deposit;
-
the Professional charging no-show fees in accordance with their conditions;
-
for online payments, retention by iara of Buyer Protection Fees in accordance with Article 8.3;
-
non-refund of a deposit paid outside the Platform, the amount and conditions of which are unknown to iara.
iara cannot be held liable for the application of cancellation conditions, which remain the Professional’s responsibility.
Article 14 — Users’ Obligations
14.1 Common Obligations
Users undertake to:
-
use the Platform in accordance with its purpose, these Terms and applicable regulations;
-
provide accurate, complete and up-to-date information;
-
refrain from fraudulent, abusive, harassing, discriminatory or defamatory behaviour, or behaviour contrary to public policy or accepted standards of morality;
-
respect other Users’ rights, including intellectual property rights and image rights;
-
refrain from circumventing the Platform’s booking and connection features; where a booking is made through the Platform, any online payment must be made through the integrated Payment Service Provider.
14.2 Obligations Specific to Clients
The Client undertakes to honour their bookings, pay for the Services booked and respect Professionals’ premises and equipment. In the event of damage attributable to the Client, the Professional may charge the Client for restoration costs, up to the amount of the loss actually suffered and upon presentation of the corresponding supporting documents.
14.3 Obligations Specific to Professionals
The Professional undertakes to:
-
conduct their business in accordance with applicable regulations, particularly regarding hygiene, professional qualifications, safety and insurance;
-
perform booked Services in accordance with their description;
-
keep their availability calendar and prices up to date;
-
respond within reasonable periods to requests from Clients and iara;
-
fulfil all their tax and social security obligations.
For each booking, the Professional solemnly represents and warrants that they hold the qualifications, authorisations and insurance necessary to provide the Services offered and that they are up to date with their legal, regulatory and professional obligations.
Article 15 — Client Reviews and Messaging
15.1 Collection of Reviews
Upon completion of a Service, iara may invite the Client to publish a review of the Service and the Professional. Reviews are collected and published in accordance with the NF Service ISO 20488 standard and Article L.111-7-2 of the French Consumer Code.
The Client warrants that their review is sincere, based on actual experience of the Service and contains no insulting, defamatory or false statements, unrelated commercial content or material infringing third-party rights.
15.2 Moderation of User Content
iara may moderate all User Content — reviews, Posts, messages and profile information — in order to remove, reduce the visibility of or refrain from disseminating content that breaches these Terms or applicable regulations. Moderation may rely on automated systems and human review, particularly following a report made under the conditions set out in Article 16.
15.3 Internal Messaging
The Platform offers a messaging system enabling Users to communicate, particularly to prepare for or perform a Service. It also enables them to share another User’s profile and displays certain usage information (read status, typing indicator). Messaging must not be used for purposes unrelated to the Platform’s purpose or to send unsolicited communications.
iara may implement automated systems to prevent fraud, harassment, dissemination of unlawful content and circumvention of the Platform. These systems do not entail human reading of message content, except in the event of a legitimate report, a request from an authority or a need to investigate a complaint under the conditions set out in Article 22.4, and in compliance with Regulation (EU) 2016/679.
Messages sent by iara through the messaging system are information or service messages that cannot be replied to through that channel.
15.4 Professionals’ Communication Campaigns
iara makes available to Professionals a campaign tool for sending communications (emails or SMS messages) to Clients with whom the Professional has an established relationship through the Platform. The Professional chooses the message content; iara handles all sending operations using data already collected through the Platform, including selecting eligible recipients, sending and managing unsubscribes.
Email communications are sent only to the Clients of the Professional concerned, for services similar to those covered by an existing client relationship, and include a simple, free means of opting out of future messages, the effectiveness of which is guaranteed by iara. Promotional SMS communications are sent only to Clients who have previously consented to receive marketing through that channel.
The Professional warrants that the content of their campaigns is lawful, accurate and compliant with these Terms and applicable regulations, particularly regarding commercial practices and advertising. iara may refuse, moderate or suspend a campaign, or suspend the Professional’s access to the tool, in the event of non-compliant content, a report or an abnormal complaint rate, without incurring liability for the content of Professionals’ campaigns.
Article 15 bis — Posts, Feed and Community Features
15 bis.1 Purpose
The Platform enables Users, both Clients and Professionals, to share Posts, view other Users’ Posts, follow profiles, mark Professionals as favourites and communicate through messaging.
These features are intended to help Users discover Professionals’ Services and work and to facilitate connections. They do not change either the nature of iara’s involvement described in Article 3 or the direct contractual relationship between Client and Professional.
15 bis.2 Posts
Any User with an active Account may share Posts from their profile. Posts are visible to other Users of the Platform and may appear in the Feed, on their author’s profile and, where another User is tagged, on that User’s profile.
A User who tags a Service, Professional or another User in a Post warrants that the tag is accurate.
Obligations relating to the content of Posts are defined in Article 20.3. Posts are subject to the moderation set out in Article 15.2 and the reporting procedure in Article 16.
Any decision to remove content, restrict its visibility or refuse to disseminate it is accompanied by reasons and notified to the User concerned, who may challenge it under the conditions set out in Article 22.4.
15 bis.3 Feed and Display Parameters
The Feed presents Posts and, where applicable, certain reviews in two modes: a “Following” mode, which presents content from Users followed by the User in chronological order; and a “For you” mode, which presents a selection of content.
In accordance with Article 27 of Regulation (EU) 2022/2065, the main parameters determining content selection and order in “For you” mode are as follows: the User’s Following relationships and favourites; the categories of Services they view or book; the location they have provided or authorised; the recency of Posts; the interactions they generate (views, follows, bookings); and, for reviews, a minimum rating defined by iara. No parameter is based on remuneration paid by the User whose content is presented.
The User may at any time choose to prioritise “Following” mode, which does not rely on profiling, and change the categories of content offered to them from the Feed settings.
15 bis.4 Following and Favourites
A User may follow another User’s profile to keep up with their Posts, and a Client may mark a Professional as a favourite. Marking a Professional as a favourite also creates a Following relationship.
The User concerned is informed of any new follower or addition to favourites involving them. The list of Users following a profile and the list of profiles followed may be visible to other Users under the conditions stated on the Platform.
Following relationships and favourites may be freely revoked at any time. They are automatically deactivated if either Account concerned is deleted, anonymised or blocked.
15 bis.5 Blocking
Any User may block another User from that User’s profile. Blocking terminates mutual Following relationships, prevents any new messaging exchanges or bookings between the Users concerned, and makes each User’s Posts invisible to the other.
Blocking does not affect bookings already confirmed, which remain governed by Articles 6 and 13 and the Professional’s conditions, or the retention and invoicing obligations set out in these Terms. A Professional who blocks a Client with an outstanding booking must honour it or cancel it under the conditions set out in Article 8.3.
The blocked User is not notified of the blocking. Blocking does not replace the reporting procedure set out in Article 16.
15 bis.6 Finding Contacts
The Platform may offer the User the ability to find, among the contacts stored on their device, people already registered on the Platform, in order to suggest following them.
This feature is optional and is activated only at the User’s express request, after permission has been granted in their device settings. The User warrants that they have the right to share the contact details in their address book for this purpose.
iara uses contact details transmitted in this way only to search for matches with verified telephone numbers and email addresses of existing Accounts. Contact details that do not match any Account are not retained, and no invitation is sent to people who are not registered. Matches are made only with Users who have allowed themselves to be found by their telephone number or email address in their settings; this setting is disabled by default.
The User may at any time withdraw permission to access their contacts and request deletion of the matches established. Details of this processing are set out in the Privacy Policy.
15 bis.7 Links to Third-Party Services
Users may add links on their profile to their accounts on third-party services (including Instagram, TikTok, Snapchat and Facebook). The Platform may display a preview of content published on those services.
These third-party services are governed by their own terms and policies. iara exercises no control over their content or availability and assumes no liability in respect of them. Displaying a preview may involve the placement of trackers by the third-party service under the conditions described in the Privacy Policy.
15 bis.8 Minor Users
Community features are accessible to minor Clients aged at least sixteen (16) under the conditions set out in Article 4.2. In accordance with Article 28 of Regulation (EU) 2022/2065, iara does not display profiling-based advertising to Users it knows to be minors and implements appropriate measures to protect their privacy and safety, particularly regarding profile visibility and contact by unknown Users.
Article 16 — Reporting Unlawful Content (DSA Regulation)
In accordance with Articles 11, 12 and 16 of Regulation (EU) 2022/2065, known as the “DSA”, iara has designated a single contact point for receiving notices and communicating with authorities:
DSA contact address: tech@iarabeauty.com
Any User may report content they consider unlawful or contrary to these Terms:
-
through the dedicated feature available on the Platform;
-
or by email to the above address.
Any report must include a sufficiently precise and substantiated description of the reasons why the content is considered unlawful, the location of the content on the Platform and, if possible, the identity of the person making the report.
iara acknowledges receipt of the report and examines the request within a reasonable period. Any decision taken following a report (content removal, visibility restriction, Account suspension, refusal to act) is accompanied by reasons communicated to the person making the report and, where applicable, the person whose content is concerned. Internal avenues of appeal are described in Article 22.
Article 17 — Liability
17.1 Obligation to Use Reasonable Efforts
iara provides the Platform and associated services subject to an obligation to use reasonable efforts, excluding any obligation to achieve a specific result. iara does not provide Services and does not act as a beauty professional.
17.2 Exclusion of Liability for Services
iara cannot be held liable for any act or event occurring during the performance of a Service, which remains the sole responsibility of the Professional concerned. iara does not warrant the solvency, integrity, conduct or professional qualifications of Professionals or Clients, subject to the checks performed by the Payment Service Provider as part of its AML/CFT obligations.
17.3 Exclusion of Liability for Users and Third Parties
iara cannot be held liable for damage caused by an event of force majeure, by a User or by a third party, or for any indirect and/or unforeseeable damage (including loss of opportunity, non-material harm, operating losses, loss of turnover or reputational damage).
17.4 Liability Cap
To the fullest extent permitted by applicable regulations, iara’s total liability under these Terms, on all grounds combined, is capped at the amount of sums actually paid by the User concerned to iara during the twelve (12) months preceding the event giving rise to liability.
17.5 Compliance Services
As an exception to Article 17.4 and without prejudice to it, iara’s liability in respect of the Compliance Services defined in Article 6 bis is governed by Articles 6 bis.8 and 6 bis.9. In particular, iara cannot be held liable for tax adjustments, surcharges, interest, fines and penalties imposed on the Professional by a tax or administrative authority, or for the consequences of unavailability of the Approved Platform or the authorities’ systems.
17.6 Service Availability
iara endeavours to keep the Platform continuously accessible but cannot guarantee uninterrupted availability. Access may be suspended for maintenance, updates, security reasons or causes beyond iara’s control.
Article 18 — Personal Data and Privacy
iara processes Users’ personal data in accordance with Regulation (EU) 2016/679, known as the “GDPR”, and Law No. 78-17 of 6 January 1978, as amended. Detailed arrangements for collection, processing, retention and exercise of rights are described in the Privacy Policy accessible on the Platform.
To operate the Platform, iara uses technical providers in the following categories: hosting and infrastructure, content delivery, payment services, email and SMS sending, content storage, audience measurement and maintenance tools. Some of these providers act as processors within the meaning of Article 28 of the GDPR and may be located outside the European Union, subject to the implementation of appropriate safeguards.
Import of client files by Professionals. Where a Professional imports data relating to their own clients onto the Platform (including names, contact details and history), including data concerning people who do not have an Account, the Professional acts as controller and iara as processor within the meaning of Article 28 of the GDPR. The Professional warrants that the data was lawfully collected, that the data subjects were informed in accordance with Articles 13 and 14 of the GDPR and that the Professional is entitled to entrust the data to iara for the purposes of managing their business through the Platform. iara processes this data only on the Professional’s instructions, does not use it for its own purposes and deletes or returns it at the end of the relationship with the Professional, subject to statutory retention obligations. People included in an imported file do not acquire User status solely as a result of the import. The Professional indemnifies iara against any claim arising from failure to comply with these warranties.
Any data protection request may be sent to: tech@iarabeauty.com.
Article 19 — Cookies
The use of cookies and trackers on the Platform is described in the Privacy Policy accessible on the Platform and, where required by regulations, is subject to the User’s prior consent.
Article 20 — Intellectual Property and User Content
20.1 iara’s Intellectual Property
All elements comprising the Platform (trademarks, logos, text, photographs, design, code, database, etc.) are protected by intellectual property rights and remain the exclusive property of iara or its licensors. Any unauthorised reproduction, public display or use is prohibited.
20.2 Licence to User Content
By publishing User Content on the Platform, the User grants iara, for the duration of protection of the rights concerned and worldwide, a non-exclusive, royalty-free licence transferable to iara’s technical providers, authorising iara to reproduce, publicly display, adapt (including crop, compress, transcode and subtitle) and disseminate that content:
-
on the Platform, for the purposes of its operation, including in the Feed, on profiles and in search results;
-
on iara’s accounts with third-party services (including Instagram, TikTok, Pinterest and Facebook) and on its communication materials, for the purpose of promoting the Platform and the Professionals listed on it, with attribution to the author.
The User may object at any time to the use referred to in point 2° through their Account settings or by writing to iara; the objection applies prospectively, and iara removes the relevant content from its third-party accounts within a reasonable period. Deletion of User Content by its author terminates the licence, subject to technical copies, backups and content already reused by third parties beyond iara’s control.
This licence is limited to the uses set out above. It does not entail any assignment of the User’s rights, and the User remains free to exploit their content elsewhere. The User warrants that they hold all necessary rights in the content published.
20.3 Obligations Relating to User Content
Each User warrants that the User Content they publish — including photographs or videos of work or Services, profile pictures, cover pictures, Posts and reviews — relates to their own work, their own establishment, themselves or a Service they actually received, or constitutes content for which they hold all rights of use.
They are strictly prohibited from:
-
presenting another professional’s work as their own, whether or not that professional is listed on the Platform;
-
using photographs or videos from another professional, an image library, social media or any other source where these are presented, directly or indirectly, as work carried out by the User or by a Professional they tag;
-
tagging a Professional or Service in content that does not relate to them or it;
-
publishing any content liable to mislead as to the nature, quality, result or conditions of performance of a Service, such conduct potentially constituting a misleading commercial practice within the meaning of Articles L.121-2 et seq. of the French Consumer Code where it originates from a Professional;
-
publishing any sexual, violent, hateful or discriminatory content, or content depicting a minor in a manner contrary to their interests.
Where content makes it possible to identify a person other than its author (face, tattoo, distinguishing feature or any other identifying element), the User warrants that, before publication, they obtained the person’s express agreement in respect of their image rights and, where applicable, their consent to the processing of their personal data. For a Professional, this warranty extends to Clients they photograph or film.
Any breach may result in removal of the content, restriction of community features, suspension or removal of the Professional’s listing, and suspension or termination of the Account under the conditions set out in Article 22. The User indemnifies iara against any claim arising from failure to comply with this Article. iara may remove, without prior notice, any content reported under the conditions set out in Article 16.
Article 21 — Amendment of the Terms
iara reserves the right to amend these Terms at any time, particularly to reflect legislative, regulatory, technical or commercial developments.
Changes materially affecting Users’ rights or obligations are notified by any appropriate means (including email or notification on the Platform), with at least thirty (30) days’ notice before they take effect, unless the change is required by a legal or regulatory obligation or is necessary for security reasons.
For Professionals, changes materially affecting their rights and obligations are subject to at least fifteen (15) days’ notice, in accordance with Article 3 of Regulation (EU) 2019/1150, extended to thirty (30) days where the change has a structural impact on the Professional’s business.
During the notice period, the User may terminate their Account without fees or compensation if they reject the change.
Article 22 — Suspension, Termination and Internal Complaints
22.1 Termination at the User’s Initiative
The User may terminate their Account at any time from their personal space or by sending a request to iara. For Professionals with a paid subscription, termination takes effect at the end of the current billing period, without a pro rata refund except where provided for by law or for a reason attributable to iara.
22.2 Suspension or Termination at iara’s Initiative
iara may suspend, restrict or terminate a User’s Account, with immediate effect or subject to notice depending on the seriousness of the breach, particularly in the following cases:
-
breach of these Terms or the Specific Terms;
-
failure to comply with applicable regulations;
-
provision of inaccurate or misleading information;
-
suspected or established fraud, abuse or conduct contrary to the spirit of the programmes offered by iara;
-
compromise of the security of the Platform, Users or iara;
-
a decision by a competent authority or a notice of unlawful content;
-
failure by the Professional to pay sums owed to iara.
22.3 Statement of Reasons
Any suspension, restriction or termination decision is accompanied by reasons and notified to the User under the conditions set out in Articles 4 and 17 of Regulation (EU) 2022/2065.
22.4 Internal Complaints
The User may lodge a complaint against any decision by iara (suspension, restriction, refusal to award Credits, refusal to apply iara Protection, etc.) by sending a message setting out their grounds to: hello@iarabeauty.com.
iara acknowledges receipt of the complaint and responds within a reasonable period, taking into account the nature and complexity of the request.
22.5 Data Retention
Cancellation of the Account does not result in immediate deletion of all data. Certain data is retained under the conditions set out in the Privacy Policy and applicable regulations (including accounting, tax and AML/CFT obligations and the defence of iara’s rights).
Article 23 — Right of Withdrawal
23.1 For Clients
In accordance with Articles L.221-18 et seq. of the French Consumer Code, a Client acting as a consumer has fourteen (14) days from conclusion of the contract to exercise their right of withdrawal in respect of a service purchased remotely from iara.
However, in accordance with Article L.221-28 of the French Consumer Code:
-
for Gift Cards not yet used: the right of withdrawal may be exercised under the ordinary statutory conditions;
-
for Services booked through the Platform and performed on a specific date at the Client’s request: the right of withdrawal does not apply, in accordance with Article L.221-28-12° of the French Consumer Code;
-
for iara services whose performance has begun at the Client’s express request before the end of the withdrawal period: the Client expressly waives their right of withdrawal for services actually performed before expiry of that period.
23.2 For Professionals
The right of withdrawal provided for by the French Consumer Code does not apply to Professionals acting in a professional capacity, subject to statutory exceptions (including Article L.221-3 of the French Consumer Code for businesses with fewer than five employees, for contracts outside the scope of their main activity).
Article 24 — Mediation and Dispute Resolution
24.1 Amicable Complaint
Before pursuing any remedy, the User is invited to submit an amicable complaint to iara at hello@iarabeauty.com.
24.2 Consumer Mediation
In accordance with Articles L.611-1 et seq. of the French Consumer Code, a Client acting as a consumer may, in the event of a dispute with iara that has not been resolved amicably, use the consumer mediator designated by iara free of charge:
CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice, 49 rue de Ponthieu, 75008 Paris — website: https://www.cm2c.net — online submission: https://www.cm2c.net/declarer-un-litige.php.
In accordance with Article L.612-2 of the French Consumer Code, the mediator may examine the dispute only if the Client demonstrates that they first attempted to resolve the dispute directly with iara by a written complaint and if the request is submitted within one year of that complaint.
24.3 Mediation Between iara and Professionals
In the event of a dispute with iara that remains unresolved following the internal complaint procedure set out in Article 22.4, the Professional may propose mediation, in particular through the Médiateur des entreprises, a free public mediation service (www.mediateur-des-entreprises.fr), or through any independent mediator chosen by mutual agreement. iara considers any such request in good faith. Mediation is voluntary and confidential; it does not deprive either party of the right to bring proceedings before the competent courts under the conditions set out in Article 25.
24.4 Disputes Between Clients and Professionals
Disputes relating to the performance of a Service are directly between the Client and the Professional. iara is not a party to such disputes and may, without being obliged to do so, offer amicable intermediation.
Article 25 — Governing Law and Jurisdiction
These Terms are governed by French law, to the exclusion of any other law, subject to mandatory provisions more favourable to the Client acting as a consumer arising from the law of their habitual residence.
Any dispute relating to the interpretation, performance or validity of these Terms is subject to the competent French courts under the ordinary rules of law. A Client acting as a consumer may, at their discretion, bring proceedings before one of the courts with territorial jurisdiction under the French Code of Civil Procedure, or the court for the place where they resided at the time the contract was concluded or the harmful event occurred.
Article 26 — Final Provisions
26.1 Assignment
iara may freely assign these Terms, in whole or in part, as part of a business transfer, merger, demerger or contribution transaction, provided that continuity of Users’ rights is guaranteed.
26.2 Non-Waiver
iara’s failure to invoke a provision of these Terms at any given time may not be interpreted as a waiver of its right to invoke it subsequently.
26.3 Severability
If a provision of these Terms is held to be invalid or unenforceable, that invalidity does not affect the validity of the other provisions, which remain in force.
26.4 Language
These Terms are drafted in French. An English translation may be provided for information purposes. In the event of any discrepancy between the versions, the French version shall prevail.
26.5 Entire Agreement
These Terms, together with the Privacy Policy — which includes the policy on cookies and trackers — and any Specific Terms, constitute the entire agreement between the User and iara and supersede any previous communication or agreement relating to the same subject matter.
